Review of feedback from the consultative process and the determination of proposed rules for proxy voting and the instrument for the appointment of a proxy holder.

Item No 2.

Constitutional Working Party Motion requiring a Special Resolution –

To consider and if thought fit, to enable proxy voting by Member Clubs at General Meetings of the Council, by amending the Constitution as follows:-

Clause 2 DEFINITIONS

Add “Proxy Holder” means a person appointed by a Member Club to attend, speak and vote on that Club’s behalf at a specific General Meeting or adjournment thereof.

Amend “Special Resolution” by adding the words “or by proxy” between the existing words “person” and “at”.

Clause 8 COUNCIL

Add Clause 8.4 Member Clubs may appoint a person as a Proxy Holder to attend speak and vote on its behalf at a specific General Meeting of the Council or at any adjournment thereof.

Clause 9 COUNCIL MEETINGS

Add After the words “by the Secretary”

“The notice calling the meeting shall include guidance for the appointment of proxy holders and for the completion of voting directions in the general form laid out in the By-Laws.”.

Item No 3.

In the event of the approval of the Special Resolution above

Constitutional Working Party Motion - this meeting directs the Management Committee to incorporate the determinations of Agenda item 1 above in a new Clause 61 Proxy Voting in the By-Laws of the Association.
